My transactional experience includes advising clients on M&A transactions involving asset and share transactions, joint venture arrangements, and compliance with securities legislation and exchange policies. I also have experience advising clients on both private and public equity and debt offerings, and financing transactions.

I have robust experience advising on franchise transactions and have acted for franchisors and franchisees on M&A transactions involving franchisors and matters relating to franchise disclosure documents, franchise agreements, area development agreements, and master franchise agreements.

I also have experience drafting, negotiating, and advising on general commercial contracts for day to day operations of a business which include, but are not limited to, shareholder agreements, intellectual property licensing agreements, consulting agreements, leases, and procurement contracts.

Representative Work

  • Variperm Canada Limited, a SCF Partners portfolio company, on its cross-border acquisition of RGL Reservoir Management Inc. and its wholly-owned US-subsidiary, Pacific Perforating, Inc., establishing Variperm as a global leader in the sand and flow control space with operations in Canada and the United States.
  • Linewise Aerial Solutions Inc., a provider of technology-forward transmission line inspection services, on the cross-border sale of its business and assets to Surveying and Mapping, LLC, a Peak Rock Capital portfolio company.
  • AdvEn Industries Inc., a private Alberta-based advanced energy and environmental technology company, on the spinout of two non-core technologies and the subsequent acquisition by Nano Innovations Inc. of all of AdvEn’s issued and outstanding shares.
  • A private Alberta-based fluids management company with operations across Western Canada, on a variety of corporate and commercial matters including a tax-efficient recapitalization and shareholder succession initiative.
